Terms of Service
Draft for legal review. Not yet in effect.
This is a plain-English starting draft. It has not been reviewed or approved by a lawyer, and it is not legal advice. Parts marked “To be completed” are deliberately left open.
1. Who these terms are between
These terms are between you (the business using Prepack, and the person who signs in for it) and the operator of Prepack: [To be completed: legal name and address of the operator]. In these terms, “we” and “us” mean that operator, and “Prepack” means the website and service.
Once these terms take effect, creating an account or using Prepack will mean you agree to them.
2. What Prepack does
Prepack helps food businesses make allergen labels for food they pack before customers order. You enter your recipes. Prepack looks up each ingredient in a fixed table of the nine major food allergens and produces a label from what you entered. If it can't identify an ingredient, the label is blocked until you supply that ingredient's allergens.
Prepack does not inspect your kitchen, test your food, or check what your suppliers actually deliver.
3. Your account
- You sign in with a link sent to your email. Keep that email account secure: anyone who can read it can sign in to Prepack as you.
- The person who creates a business's account owns it and is the only one who can manage billing.
- Give accurate details, and tell us if you think someone else has accessed your account.
4. Your products and ingredient data
- You are responsible for the accuracy of everything you enter: product names, recipes, ingredients, and any allergens you confirm.
- Ingredients can differ by brand and change without notice. Check the ingredient panels of what you buy, and update your recipes when a supplier or product changes.
- Your recipes and label records belong to you. We use them only to provide Prepack to you. [To be completed: privacy notice and data retention terms]
5. Checking labels before you use them
- Review every label before you print and use it, and confirm its allergens are right for the food in the package.
- Prepack keeps a copy of each label exactly as it printed. That record shows what was printed and when; it does not show that the label was correct.
- We do not guarantee that any label meets the requirements of New York law, any other law, or any regulator or inspector. Requirements and guidance can change. Check current guidance from the New York State Department of Agriculture and Markets and your local health department.
- Nothing in Prepack, including the plain-English guide to the law, is legal advice.
6. Plans, subscriptions and billing
- The Free plan allows up to 5 active products. The Shop plan is a paid subscription, billed monthly or yearly at the price shown on the pricing page and at checkout.
- Payments are handled by our payment processor, Stripe. We do not see or store your full card details.
- A subscription renews automatically at the end of each billing period until it is cancelled.
- Taxes, price changes and refunds: [To be completed: tax treatment, notice of price changes, and refund policy]
7. Cancelling
- The account owner can cancel the Shop plan at any time from Settings → Manage billing. The cancellation date and what happens to the current period are shown there before you confirm.
- When Shop ends, your account moves to the Free plan. Nothing is deleted: your products, recipes and label records stay. Products beyond the Free plan's 5 oldest active products become read-only, and their existing valid labels can still be printed.
- Closing an account entirely and deleting its data: [To be completed: account closure and data deletion process]
8. Acceptable use
Use Prepack only for your own business's labels, and don't:
- enter information you know is false, or use Prepack to mislead customers about what is in food;
- try to get into other businesses' accounts or data, or get around plan limits or security;
- overload, disrupt, copy or resell the service, or use automated tools to scrape it.
We may suspend an account that breaks these rules. [To be completed: suspension and notice process]
9. Service availability
- We aim to keep Prepack available, but we can't promise it will always be available or free of errors. Maintenance, outages and internet problems can happen.
- Don't rely on Prepack being reachable at the moment you need a label. Print what you need ahead of time, and have a way to label food if the service is unavailable.
- We may change or improve features. We'll give notice of changes that significantly affect paid plans.
10. Limits of our responsibility
- Prepack is provided “as is”. You remain responsible for the food you sell and the labels you put on it.
- To the extent the law allows, we are not responsible for losses that result from inaccurate information you entered, from labels that were not reviewed before use, or from a regulator's view of a label.
- Any limit on the amount of our liability, and the exceptions to it: [To be completed: liability cap and exclusions, to be drafted by counsel]
11. Changes, governing law and contact
- We may update these terms. We'll tell account owners about significant changes before they apply.
- Governing law and how disputes are resolved: [To be completed: governing law and dispute resolution]
- Questions about these terms: email ppallengens@gmail.com.
